Terms of Use

These terms are an agreement between you and Stedley LLC. They apply to the Stedley website, the web application and the mobile application. By creating an account or using Stedley, you agree to them.
1. What Stedley is
Stedley is job management software for contractors: scheduling, estimates, proposals, invoices, time tracking, expenses and reporting. It is a tool you use to run your business. It is not an accountant, a lawyer, a tax adviser or an insurer, and nothing it produces is professional advice.
2. Your account
You are responsible for:
- keeping your password and your device secure
- everything done through your account
- the accuracy of what you enter
- the people you invite to your company, and what they do in Stedley
An owner controls their company in Stedley — they can invite crew members, set what those members can see and do, and remove them. Inviting someone gives them access to your business data, and that is your decision to make.
The person who creates and owns a company must be at least 18 and legally able to enter this agreement. Crew members are invited by an owner and do not enter a payment agreement with us; Stedley imposes no blanket age rule on them, and the owner is responsible for meeting their own employment-law obligations. You must not use Stedley if we have previously terminated your account.
3. Free trial
Stedley is in beta today and the trial has not opened yet. The beta is free and nobody is billed. This section and the one after it set out the terms that apply when the trial and paid subscriptions open.
New companies may start a 14-day free trial. No payment method is required, and the trial does not become a paid subscription automatically. When it ends, access pauses until you choose a plan. Nothing is deleted.
One trial per business identity. Deleting and recreating an account does not grant a second trial.
4. Subscriptions, renewal and cancellation
Subscriptions are monthly or annual and renew automatically at the then-current price for your plan until you cancel. Annual plans are billed once for twelve months of service.
Cancelling stops the next renewal. It does not end the period you have already paid for: you keep full access until that period ends, and you may reverse the cancellation any time before then.
Changing plans. Moving to a plan with more capacity takes effect immediately, and our payment processor charges the prorated difference for the remainder of the period. Moving to a plan with less capacity, or switching between monthly and annual billing, takes effect at your next renewal — you keep your current plan and capacity until then. Because you keep the service you paid for, these changes do not produce a refund.
Failed payments. If a renewal payment fails, your subscription goes past due and normal use is restricted straight away. You can still sign in, see your existing records, update your payment details, and take your accounting and tax exports. Work already under way can still be finished — an open time shift can be closed, and a proposal you have already sent can still be accepted by your customer — but starting new work waits until the payment goes through. Nothing is deleted. You have 30 days from the first failed payment to put it right and keep the price you were already paying; after that, the price is no longer held for you.
Refunds. Subscription payments are non-refundable except where required by law. Stedley may issue refunds at its discretion.
Price changes. We may change our prices. If we do, we will tell you before the change affects you. While your subscription remains continuously active, you may keep the price you signed up at. If you cancel and your subscription ends, you have 30 days from the day your paid service ends to restart on the same plan and the same billing period at the price you were paying. After those 30 days, or if you restart on a different plan or a different billing period, you pay the price current at that time. Restarting is always a purchase you choose to make — nothing starts billing again on its own, and holding your price does not keep Stedley running in the meantime.
Complimentary access. Access we grant directly is not a subscription, is not billed, and may be time-limited or withdrawn.
5. What Stedley does not do with money
Stedley bills you for your subscription. It does not take card payments from your own customers, and it is not a payment processor for your business. Collecting what your customers owe you is between you and them.
6. Plan limits
Plans differ by how many employees you may add, and the owner does not count as one of them: a plan for the owner plus five employees holds six people in total. Stedley will not let you move to a plan that cannot hold the people you already have — remove people first. Exceeding your plan's capacity is prevented rather than billed as an overage.
7. Your data
You own your data. Everything you enter — your jobs, clients, estimates, invoices, photos, hours — remains yours.
You grant us only the permission we need to operate the service: to store, copy, transmit, back up and display your data so that Stedley works for you and the people you have invited. That permission exists for no other purpose, ends when your data is deleted, and does not let us sell your data, use it for advertising, or use it to train machine-learning models.
Your customers' information. Much of what you enter is about other people. You are responsible for having the right to record it and for how you use it. We process it on your behalf.
Export. You can export your accounting data at any time. Because deletion is permanent, export before you delete.
8. Acceptable use
Do not:
- use Stedley for anything unlawful, or to store unlawful content
- attempt to access another company's data, or probe, scan or interfere with the service or its security
- resell, sublicense or white-label Stedley without our written agreement
- upload malware, or content you have no right to upload
- use Stedley to send unsolicited bulk messages
- automate access in a way that degrades the service for others
- misrepresent a proposal acceptance, or record an acceptance the customer did not actually give
9. Proposal acceptance records
When your customer accepts a proposal, Stedley records evidence of what was agreed and how. Those records are permanent and cannot be edited by anyone, including us — that is what makes them worth having. They are removed only when the whole company is deleted.
10. Availability
We work to keep Stedley available, but we do not promise uninterrupted service. There is no service level agreement and no uptime guarantee. We may perform maintenance, and we may change or remove features.
Stedley has a deliberate bounded offline mode: some things keep working without a connection and sync later. It is not a promise that everything works offline.
11. Termination
By you: cancel any time; delete your account any time.
By us: we may suspend or terminate an account that breaches these terms, that is used unlawfully, or that puts the service or other customers at risk.
On termination, access ends. Deletion of your data follows the process in the Privacy Policy.
12. Disclaimers
Stedley is provided "as is" and "as available". To the maximum extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We do not warrant that Stedley's calculations, totals, tax figures or exports are correct for your circumstances. You are responsible for checking your own numbers before relying on them — before sending an invoice, filing a return, or paying a crew.
13. Limitation of liability
To the maximum extent permitted by law, Stedley is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost business or lost data.
Stedley's aggregate liability is capped at the amount the customer actually paid Stedley during the preceding 12 months, subject to any liabilities that applicable law does not permit us to exclude or limit.
14. Changes to these terms
We may update these terms. For significant changes we will give notice in the app or by email before they take effect. Continuing to use Stedley after that means you accept the updated terms.
